Payback comparison · 15 funded assemblies

Incentives alone equal 2× / 2.5× / 3× original principal if all milestones are earned. Principal repayment and coupon are additional. Preset conventions: total interest calculated at origination using the selected coupon rate and original principal schedule, then locked; scheduled coupon paid after launch; no scheduled principal in the first 36 operating months, except cash-funded match-it acceleration, followed by monthly repayment over the remaining 5 or 7 years of the selected 8- or 10-year term. These payment conventions remain illustrative, not executed loan terms.

Candidate terms

Interest is calculated from the original contractual principal schedule at origination, without capitalization; early repayments do not reduce that amount. Deferred interest is paid with the first operating-month payment.

Milestones & earning rule

Sandbox rule: Q1 earns band 1; Q2 earns bands 2–4. Delays shift each related 12-month payment band without compression or catch-up. Principal maturity follows the selected term. Manual principal payoff is available from operating month 37, has no penalty and remains subject to the payment ceiling; earned incentive amounts remain unchanged. Early principal repayment does not reduce the locked interest total. Any unpaid locked interest remains payable. A missed Q2 leaves Q1 rights, principal and coupon intact; Q2 incentives remain unearned. Verification and enforceable earning terms remain open.

Match-it reinvestment and repayment

Total investor payments are capped at 70% of positive monthly operating profit after hosting and operating costs, retaining at least 30% before replacement capex and other claims. Payments also require collected cash. Due and overdue earned milestone incentives are paid first, then scheduled principal and coupon. All currently due obligations precede purchases and optional principal acceleration. Unpaid amounts carry forward; the cap does not forgive obligations or establish lender consent to delayed payment. Once all match-it assemblies are purchased, principal can accelerate before the scheduled deferral ends; extra payments preserve six months of operating costs plus remaining forecast debt payments. After principal and locked interest are paid in full, earned future incentive installments may be paid early within the same cap. Unearned milestones cannot be accelerated. Total interest remains fixed at origination. If obligations remain unpaid at the modeled horizon, the amount is shown rather than forcing a final balloon. Match-it reinvestment is included in this offering.

Hardware component of expansion or replacement: $330,000 per assembly including a 10% procurement allowance. The commitment is called in two stages: operating reserve at the start of month 0 and GPU hardware in month 3. The investor-funded operating reserve is included in the advance and credited once to restricted operating cash. The optional additional-opening-cash input is separate. Hardware draws fund initial hardware once and cannot also fund expansion. Operating losses may consume the operating reserve; the ledger shows its shortfall and replenishment. Investor payments and purchases cannot consume the protected operating buffer. Interest is calculated only on drawn funds under the selected convention. The default coupon starts after launch. WUP provides the facility under a 48-month agreement. Extensions to 7 or 9 total years are quoted at year 3; unchanged rent beyond year 4 is a sensitivity, not a quote. Add at most one company assembly per funded assembly, with a hard limit of 27 total slots. The client rent schedule adds hosting when a new rack becomes operational; no provider construction capex is charged to GPU investors. Expansion depends on WUP separately supplying or financing that infrastructure; its upfront outlay is outside this cash ledger. Replacement uses existing rack hosting. Cash-funded purchases and optional acceleration retain six months of full operating costs including hosting and the next six months of forecast debt payments, net of amounts already paid. The forward buffer builds before forecast milestones; delayed or missed milestones adjust the provision. A provision never earns or pays an incentive. Scheduled debt payments may use their debt buffer, but not the operating buffer. Assembly installation defaults to one month in ready rack space. A new rack takes eight months from purchase; all assemblies assigned to it wait for rack readiness. The assembly-install delay is adjustable. Each assembly begins earning after its commissioning delay and is retired after five operating years in this scenario. New assemblies use calendar-phase prices; the final price is held through the term. Hosting remains payable when assemblies are idle or retired; no termination fees or provider hosting receipts are credited to GPU cash. Taxes and competing claims are excluded; facility insurance is budgeted; no external financing or resale. Expansion is unavailable when all 27 slots are committed.

Reinvestment cash ledger

Cash assumptions and reconciliation

The chart and funding tables share one cash ledger, including funded reserves, expansion and cohort replacement over the modeled horizon. One-facility illustration; full common costs retained. No cash is allocated to other investors. Staged commercial conversion and immediate invoicing are assumptions, not signed contracts or automatic repricing.

Facility insurance allowance included in operating costs and reserve. No A-specific SLA premium charged to this loan scenario. Additional fields must avoid double counting. No depreciation cash deduction, refinancing, future subscriptions, GPU sale proceeds or insurance receipts assumed. Unpriced costs and competing claims remain excluded. Monthly extra allocations are separate from the funded operating buffer and modeled hardware purchases; avoid double counting. Five-year warranty upgrade remains unquoted and excluded.
